Service Contract

This Service Contract (the "Agreement") is made and entered into on April 20th, 2023 (the "Effective Date"), between Klar, a company organized and existing under the laws of the United Kingdom.

WHEREAS, the Service Provider provides anti-lag licenses and related services ("Services"); and

WHEREAS, the Client desires to obtain the Services and the Service Provider desires to provide the Services to the Client;

NOW, THEREFORE, the parties agree as follows:

SERVICES The Service Provider agrees to provide the following Services to the Client:

Anti-lag licenses: The Service Provider will provide the Client with the necessary licenses to use the anti-lag software developed by the Service Provider (the "Software"). Support: The Service Provider will provide technical support to the Client via Discord during the Service Provider's business hours. Updates: The Service Provider will provide updates to the Software as they become available. TERM AND TERMINATION This Agreement shall begin on the Effective Date and shall continue for a period of 30 days (the "Term"). Either party may terminate this Agreement upon 100 days' written notice to the other party.

PAYMENT In consideration of the Services provided by the Service Provider, the Client agrees to pay the Service Provider in advance. The fees payable under this Agreement are non-refundable.

CONFIDENTIALITY The parties agree to keep the terms of this Agreement and all information exchanged between them confidential, except as required by law.

WARRANTY The Service Provider warrants that the Services will be performed in a professional and workmanlike manner. The Service Provider further warrants that the Software will perform in accordance with the documentation provided by the Service Provider. If the Software fails to perform in accordance with the documentation, the Service Provider will provide reasonable efforts to correct the problem.

LIMITATION OF LIABILITY The Service Provider shall not be liable to the Client or any third party for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if the Service Provider has been advised of the possibility of such damages. The Service Provider's total liability under this Agreement shall be limited to the amount paid by the Client to the Service Provider for the Services.

GOVERNING LAW AND JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them relating to the subject matter of this Agreement. This Agreement may not be modified except in writing signed by both parties.

IN WITNESS WHEREOF, the parties have executed this Service Contract as of the Effective Date.
